By-Laws
Article
I Organization
The
name of the organization shall be Missouri Miniature Donkey Breeders
Association.
Article
II Purposes
The
purposes of the organization are to promote the miniature donkey breed,
to foster fellowship among breeders and enthusiasts, and to provide
opportunities not otherwise available to breeders or enthusiasts.
Article
III Membership
Section
1.
Membership
in the organization is open to all donkey enthusiasts; breeders, owners,
or otherwise.
Section
2.
Membership
dues shall be set by vote of Officers and shall initially be $10.00 per
annum. (2007 $15.00)
Section
3.
Termination
of Membership. The Board of
Directors, by affirmative vote of two thirds of all members of the
board, may terminate the membership of any member for conduct unbecoming
the organization. Specific
examples may include: animal
abuse, animal negligence, public drunkenness at association functions,
etc.
Article
IV Meetings
Section
1.
An
annual meeting shall be held in January of each year at a location to be
determined each year. The
officers shall notify the membership, by mail, in advance of the
meeting.
Section
2.
A
quorum shall consist of the members present at any annual meeting.
Section
3.
Special
meetings may be called by the CAO as deemed appropriate.
Notice
shall be mailed to members by officers.
Article
V Voting
Section
1.
Voting
at all meetings, except the election of officers, shall be by voice.
Section
2.
The
election of officers shall be by ballot.
Section
3.
Vacancies
on the Board of Directors shall be filled by vote of officers.
Article
VI Officers
Section
1.
The
Officers shall function as a Board of Directors, thereby they shall be
responsible for the management of the organization.
There shall be at least a CAO (Chief
Administrative Officer) and another officer to be designated as an
assistant or vice CAO.
Section
2.
A
quorum of officers shall consist of a majority (51%).
Section
3.
A
majority of officers (or a majority) must be Missouri
miniature donkey breeders, the remaining
positions may be filled by any member in
good standing.
Section
4. The initial officers
shall be:

VCAO -
Vice Chief Administrative Officer/Web Officer
Becky Winters
CCO
– Chief Communications Officer -Karen Cottingham
CMO -
Chief Membership Officer - Diana Plaster
CRO
– Chief Records Officer - Tracy Billings
Section 5.
Duties:
CAO –
arrange and conduct annual meetings, take responsibility for administrative
functions
CCO –
quarterly newsletter, and other publicity as indicated
CMO –
membership solicitation, records, and collection of dues
CRO –
prepare financial reports, maintain financial records, and keep minutes
of meetings
CWO –
develop and maintain a web site for the organization
Section 6.
Resignation
of Officers shall be submitted in writing to the CAO.
Section 7.
Officers
may be removed by a majority vote (51%) of the remaining officers
for cause, such as non-performance of duties.
Section 8.
Each
Director, Officer, and Committeeman of the Association shall be indemnified
by the Association against all costs, expenses, and liabilities reasonably
incurred by him in connection with or resulting from any action, suit or
proceeding to which he may be made a party by reason of his being or having
been a Director, Officer, or Committeeman, except in
relation to matters which shall have been
occasioned by the willful misconduct or dishonesty of such Officer,
Director, or Committeeman
Article VII
Banking
Section 1.
A checking
account shall be established for use by the organization.
Section 2.
Other
accounts may be established as deemed appropriate by the officers.
In all cases accounts will have at least two Officers with signatory
authority.
Article VIII
Amendments
These
By-Laws may be altered, amended, repealed or added to by an affirmative
vote at an
annual meeting or by a majority (51%) of members at any time.
